Terms of Use for SocialPostr.app

These Terms of Use ("Terms") are a legally binding agreement between you and SocialPostr.app ("SocialPostr," "we," "us," or "our") governing your access to and use of our website, Mac app, iOS/iPadOS apps, APIs, and related services (collectively, the "Services"). By accessing or using the Services, you agree to these Terms.

1. Eligibility and Account Registration

  • You must be at least 18 years old and legally capable of entering into contracts.
  • You agree to provide accurate registration information and keep it current.
  • You are responsible for maintaining account security and for all activity under your account.
  • You must notify us immediately of unauthorized access or suspected security incidents.

2. Service Description

SocialPostr helps users draft, organize, schedule, and publish social media content across supported third-party platforms, including Facebook, Instagram, X, LinkedIn, and TikTok. Features may include AI-assisted content generation, formatting, and workflow automation.

3. License and Permitted Use

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to use the Services for lawful internal business or personal content publishing purposes.

You may not:

  • reverse engineer, copy, modify, distribute, sublicense, or create derivative works from the Services (except as permitted by law);
  • use the Services to violate laws, regulations, or third-party rights;
  • interfere with Service integrity, security, or performance;
  • circumvent usage limits, access controls, or billing controls.

4. Connected Platform Accounts

To use posting features, you may connect third-party social platform accounts using platform authorization flows. You authorize us to access and use permissions you grant in order to provide requested Services.

  • You are solely responsible for maintaining valid authorization and permissions on connected accounts.
  • You are solely responsible for platform policy compliance (including API, advertising, and community standards).
  • Third-party platforms are independent services; we do not control their rules, availability, moderation decisions, or API behavior.

5. Content and User Responsibilities

You retain ownership of content you submit, schedule, or publish through SocialPostr ("User Content"). You grant us a worldwide, non-exclusive, royalty-free license to host, copy, process, transmit, and display User Content solely to provide and improve the Services.

  • You represent and warrant that you own or have all rights, licenses, permissions, and consents necessary for your User Content and publishing activities.
  • You are solely responsible for legality, accuracy, and appropriateness of User Content.
  • You agree not to upload or publish content that is unlawful, infringing, deceptive, malicious, or harmful.

6. Automated Posting and Scheduling

If you enable scheduling or auto-posting, you direct us to post User Content at selected dates/times and to designated accounts.

  • We attempt to execute scheduled actions reliably, but do not guarantee posting at an exact second or uninterrupted delivery.
  • Delays, failures, or changed formatting may occur due to platform outages, API limits, token expiration, moderation actions, or network conditions.
  • You are responsible for reviewing campaigns and final outputs before and after publishing.

7. AI-Assisted Features Disclaimer

AI-generated or AI-assisted output may be inaccurate, incomplete, biased, or unsuitable. You are solely responsible for verifying output before use or publication, including legal and regulatory compliance.

8. Fees, Billing, and Subscription Terms

Paid plans, if offered, are billed according to the pricing and billing cycle presented at purchase.

  • Unless otherwise stated, subscriptions auto-renew until canceled.
  • You authorize us and our payment processors to charge applicable fees, taxes, and renewal charges.
  • Late, failed, or reversed payments may result in suspension or limitation of access.
  • Except where required by law, fees are non-refundable after the billing period begins.

9. Prohibited Activities

You agree not to use the Services for:

  • spam, deceptive practices, impersonation, or unauthorized mass posting;
  • promotion of illegal products/services or unlawful activity;
  • harassment, hate, violence, or abusive content in violation of law or platform rules;
  • security testing, scraping, or unauthorized data extraction;
  • circumvention of platform enforcement, rate limits, or access controls.

10. Intellectual Property

The Services, including software, design, trademarks, logos, and non-user content, are owned by us or our licensors and protected by intellectual property laws. No rights are granted except as expressly stated in these Terms.

11. Privacy

Our collection and use of personal data are described in our Privacy Policy at /privacy/, which is incorporated by reference into these Terms.

12. Service Availability and Changes

We may modify, suspend, or discontinue features or integrations at any time, including due to third-party platform/API changes, legal requirements, or security concerns. We are not liable for modification, interruption, or unavailability of third-party integrations.

13. Termination

You may stop using the Services at any time. We may suspend or terminate access, with or without notice, if we believe you violated these Terms, created risk, or if required by law.

Upon termination, provisions that by their nature should survive will survive, including ownership, payment obligations, disclaimers, limitations of liability, indemnity, and dispute terms.

14. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FULLY COMPATIBLE WITH ANY SPECIFIC THIRD-PARTY PLATFORM OR API.

15. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SOCIALPOSTR AND ITS AFFILIATES, OFFICERS, EMPLOYEES, CONTRACTORS, AND LICENSORS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST DATA, LOST GOODWILL, OR BUSINESS INTERRUPTION.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICES WILL NOT EXCEED THE GREATER OF: (A) THE AMOUNT YOU PAID US FOR THE SERVICES IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) USD $100.

16. Indemnification

You agree to defend, indemnify, and hold harmless SocialPostr and its affiliates, officers, employees, and licensors from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Services; (b) your User Content; (c) your breach of these Terms; or (d) your violation of any law, regulation, or third-party right.

17. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of California, USA, without regard to conflict of laws principles. Any dispute arising from or relating to these Terms or the Services shall be brought exclusively in the state or federal courts located in California, and you consent to their personal jurisdiction and venue.

18. Changes to These Terms

We may update these Terms from time to time. Updated Terms will be posted at this page with a new effective date. Your continued use of the Services after changes become effective constitutes acceptance of the revised Terms.
